These Terms and Conditions (“Terms”) govern your use of the services provided by Growth-Hero, a digital marketing agency registered in Cyprus. By engaging with our services, you agree to be bound by these Terms. Please read them carefully.
1.1. By requesting services from Growth-Hero, you agree to these Terms in full. Any differing terms provided by the client are considered null and void unless expressly agreed upon in writing by Growth-Hero.
1.2.Growth-Hero reserves the right to update these Terms at any time. Continued use of our services after any such changes implies your acceptance of the updated Terms.
2.1. All offers and quotations from Growth-Hero are non-binding and remain valid for 30 days unless otherwise specified.
2.2. A contract is concluded when the client signs and returns an unaltered proposal or offer within the validity period.
2.3. Changes in the scope of work during or after project commencement will be billed at the current hourly rate unless a different agreement is reached.
2.4. All prices quoted are exclusive of VAT unless explicitly stated.
3.1. Contracts are typically for a duration of 12 months unless otherwise agreed in writing. Early termination by the client may result in a cancellation fee as outlined in Section 10.
3.2. Growth-Hero reserves the right to subcontract any part of the work to third parties without prior notice.
4.1. Payments are due within 14 days of the invoice date unless otherwise agreed upon. Late payments will incur interest at the rate of 1.5% per month.
4.2. In case of payment disputes, the client must notify Growth-Hero within 7 days of the invoice date. Disputes do not entitle the client to delay or withhold payment.
4.3. If the client fails to pay within 5 days of a written reminder, Growth-Hero reserves the right to suspend services until payment is received and charge a late payment fee of 10% of the overdue amount, with a minimum charge of €50.
5.1. All intellectual property created by Growth-Hero during the project remains the property of Growth-Hero until full payment is received.
5.2. Upon full payment, intellectual property rights related to the project will be transferred to the client, excluding any pre-existing IP owned by Growth-Hero.
6.1. Domain names registered by Growth-Hero on behalf of the client remain the property of Growth-Hero until all related costs are fully paid by the client.
6.2. Clients may transfer their domain and hosting services to another provider at any time, provided all outstanding payments to Growth-Hero are settled.
7.1. Growth-Hero is not liable for any indirect or consequential damages, including loss of profits, data, or business opportunities.
7.2. Growth-Hero’s liability in any case will not exceed the total amount paid by the client under the specific contract in question.
7.3. Growth-Hero is not responsible for any damages resulting from unauthorized access to client data, content errors, or any third-party services or products.
8.1. Both parties agree to keep all confidential information shared during the contract period secure and not to disclose it to any third parties without prior written consent.
9.1. Maintenance and support services are provided under separate contracts. Unused hours do not roll over beyond the contract term unless specified.
9.2. No refunds will be provided for unused support hours.
9.3. The client / website owner is free to work with another person and/or manage his own website or webshop. However, as soon as the website comes under management of the client him/herself, or in the hands of a third party, and errors need to be solved, we hold the right to refuse our support. If we accept to continue the support, these working hours will be billed to the client.
10.1. Either party may terminate the contract with a 30-day written notice.
10.2. Upon termination, the client is liable to pay for all services rendered up to the termination date, plus a cancellation fee of 30% of the remaining contract value.
10.3. Growth-Hero reserves the right to terminate services immediately if the client breaches these Terms or fails to make payments.
11.1. The client agrees that Growth-Hero may use the client’s project as a reference in its portfolio, marketing materials, and on its website.
12.1. These Terms are governed by and construed in accordance with the laws of Cyprus.
12.2. Any disputes arising from or in connection with these Terms shall be resolved exclusively by the courts of Cyprus.
12.1 Growth-Hero can never be held liable for any privacy fines or fines around GDPR of customers their website. The customer must ensure that everything around privacy is in order on their side. However, we can help with this, on request.
14.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14.2. These Terms constitute the entire agreement between Growth-Hero and the client, superseding all prior agreements and understandings.
